Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Verit platform and services provided by CarlyOS Inc. ("Verit," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Description of Services
Verit provides a fraud prevention platform for the vehicle financing industry:
- Identity verification and document authentication
- Income and employment verification
- Vehicle history and title verification
- Fraud scoring and risk assessment
- Customer verification portal for applicants
- Dashboard and reporting tools
- API access for integration
Account Terms
Registration
- • Register with accurate and complete information
- • Maintain the security of your account credentials
- • Notify us immediately of any unauthorized access
- • Be at least 18 years old to use our services
API Access
API keys are organization-scoped and must be kept confidential. You are responsible for all activity under your API keys. Compromised keys should be revoked immediately in the dashboard.
Acceptable Use
You agree NOT to:
- Use for any illegal purpose
- Submit false or fraudulent verification requests
- Attempt to circumvent security measures or rate limits
- Reverse engineer or decompile our software
- Resell or redistribute our services without authorization
- Use verification data for purposes beyond fraud prevention
- Violate applicable laws including FCRA, GLBA, or state regulations
Regulatory Compliance
Your Responsibilities
- • Obtain proper consumer consent before verifications
- • Comply with the Red Flags Rule
- • Use services in accordance with FCRA
- • Maintain data security for received information
- • Provide adverse action notices when required
Our Commitments
- • Pursuing SOC 2 Type II certification
- • Encrypting all data at rest and in transit
- • Providing complete audit trails
- • Cooperating with regulatory examinations
SMS Messaging Terms
Program Description
Verit sends transactional SMS messages on behalf of dealerships to their customers. When a dealership initiates an identity verification, a single SMS containing a secure verification link is sent to the customer's phone number. These are one-time, non-recurring messages.
Consent
By providing a phone number through the Verit platform, the dealership confirms that the customer has consented to receive a verification SMS. Dealerships are responsible for obtaining this consent directly from their customers prior to entering their phone number.
Opt-Out and Help
- • Reply STOP to any Verit SMS to opt out of future messages
- • Reply HELP for support information
- • Contact support@verit.ca for assistance
Message Frequency and Rates
- • Message frequency: 1 message per verification request
- • Message and data rates may apply depending on your carrier plan
- • Carriers are not liable for delayed or undelivered messages
Privacy
Phone numbers collected for SMS verification are not sold, shared, or used for marketing purposes. For full details, see our Privacy Policy.
Payment Terms
Pricing
Our services are billed on a per-verification basis. Current pricing is available upon request or during the onboarding process. Prices may change with 30 days notice.

- • Late payments may result in service suspension
- • All fees non-refundable unless specified

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
Our total liability for any claims arising from these Terms or your use of our services shall not exceed the fees paid by you in the 12 months preceding the claim.
Fraud Detection Disclaimer: While our platform is designed to detect and prevent fraud, we do not guarantee detection of all fraudulent activity. You are responsible for making final lending decisions.
Termination
Either party may terminate this agreement with 30 days written notice. We may suspend or terminate your account immediately if you violate these Terms, fail to pay invoices, or we are required to do so by law.
General Provisions
Governing Law: These Terms are governed by the laws of the State of Delaware.
Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with AAA rules.
Modifications: We may modify these Terms with 30 days notice for material changes.
